1. General Provisions
1.1.These Terms & Conditions (the "Terms") govern the use of the website services.vistalabel.io (the "Website") and the Vista Services Personal Account ("Vista"), operated by Individual entrepreneur Matvii Anatoliyovych Umerenkov (FOP Umerenkov M.A.).
1.2.By using the Website, registering an account, or using the Personal Account, the User confirms that they have read and agree to comply with the Terms. If the User does not agree with the Terms, they may not use the Website or the Personal Account.
1.3.Vista’s paid services (subscriptions, additional services, distribution) are governed by a separate document — the Vista Services Offer. The processing of personal data is governed by the Privacy Policy. In case of conflict between the Terms and the Offer regarding paid services, the Offer prevails.
2. Definitions
Website — services.vistalabel.io and related Vista services.
Personal Account — the User’s personal area on the Website.
User — a person using the Website and/or the Personal Account.
User Content — tracks, phonograms, cover art, lyrics, images and other materials uploaded by the User.
Offer — the Vista Services Offer governing paid services.
Privacy Policy — the document governing the processing of personal data.
3. Registration and Account
3.1.To register, the User provides an artist name and a contact — an email address or a Telegram handle. The Personal Account opens immediately after registration.
3.2.To start a release, the User confirms the provided contact (email or Telegram). Without confirmation of the contact, a release is not carried out.
3.3.The User undertakes to provide accurate and up-to-date information and to keep it current.
3.4.Only persons who have reached the age of 18 and have full legal capacity may use the Website and register an account. By registering, the User confirms that they are at least 18 years old.
3.5.The User undertakes to keep the Personal Account access credentials confidential and not to transfer access to third parties. All actions performed using the User’s account are deemed performed by the User until Vista is notified of a compromise of access.
3.6.Only projects to which the User personally holds the rights may be placed in the Personal Account. One Personal Account is maintained by one rights holder; releasing third-party projects through the User’s account is prohibited. For each separate artist (project), Vista may require a separate contact.
4. Acceptable Use
4.1.The User uses the Website and the Personal Account in good faith and in accordance with their intended purpose — to upload their own Content, distribute it and manage releases.
4.2.The User is solely responsible for their actions in the Personal Account and for the Content they upload.
5. Prohibited Actions
The User is prohibited from:
5.1.Uploading Content to which they do not hold the rights, or which infringes third-party rights, the law or platform rules.
5.2.Releasing third-party projects through their Personal Account and transferring account access to others.
5.3.Using artificial inflation of streams, downloads or other metrics (fake engagement) by means of bots, automated or deceptive schemes, or third-party services for such inflation.
5.4.Attempting unauthorised access to the Website, its systems or other users’ data, circumventing technical restrictions, or using malicious software.
5.5.Carrying out automated data collection (scraping), copying or bulk extraction of Website data without Vista’s permission.
5.6.Reselling, leasing or otherwise transferring access to the Personal Account or Vista’s services to third parties.
5.7.Impersonating another person, using others’ data, or misleading Vista or third parties.
5.8.Uploading unlawful, offensive or misleading content or spam, or using the Website for any unlawful activity.
6. User Content
6.1.Rights to the User Content belong to the User. The User warrants that they hold all necessary rights to the Content (including the track, phonogram, performance, voice, cover art and lyrics) and that its use does not infringe third-party rights.
6.2.Vista may review (moderate) the Content and reject or take it down if it violates the Terms, the Offer, the law or platform rules.
6.3.The scope and terms of using the Content for placement on platforms are determined by the Offer.
6.4.If third parties bring claims regarding the Content, the User resolves them independently and at their own expense and compensates Vista for any losses caused.
7. Vista’s Intellectual Property
7.1.The Website, the Personal Account, their software code, design, interfaces, texts, graphics, logos and Vista trademarks belong to Vista (or are used by Vista on a lawful basis) and are protected by law.
7.2.The User is granted no rights to the above objects other than the right to use the Website and the Personal Account for their intended purpose. Copying, reproduction, modification, distribution or other use of Vista’s objects without written permission is prohibited.
8. Paid Services
8.1.The composition, cost and procedure for providing paid services (subscriptions, additional services, distribution, payouts) are governed by the Vista Services Offer posted on the Website.
9. Service Availability
9.1.The Website and the Personal Account are provided "as is". Vista does not guarantee uninterrupted and error-free operation of the Website and may carry out maintenance, temporarily restrict access, and change, supplement or discontinue individual features.
9.2.Vista is not liable for failures and restrictions caused by the actions of third parties (platforms, the aggregator, the payment provider, telecom operators).
10. Suspension and Blocking of the Account
10.1.Vista may suspend or restrict access to the Personal Account, take down releases from platforms and/or close the account in the following cases: breach of the Terms or the Offer; uploading third-party content or infringing third-party rights; transferring access or releasing third-party projects; fake engagement or other deceptive actions toward platforms; fraud, non-payment of services, hacking attempts; requirements of the law, a court or the platforms.
10.2.The financial consequences of termination (refund or retention of the fee) are determined by the Offer.
11. Liability
11.1.The User uses the Website and the Personal Account at their own risk. Vista’s liability is limited to the extent permitted by law; Vista is not liable for lost profits or indirect losses.
11.2.Vista is not liable for the actions of the platforms, the aggregator and other third parties.
11.3.The User compensates Vista for losses arising from their breach of the Terms, the Offer or third-party rights.
11.4.The limitations of liability do not affect the rights of consumer Users granted by mandatory provisions of law.
12. Personal Data
12.1.The processing of the User’s personal data is carried out in accordance with the Privacy Policy posted on the Website.
13. Amendment of the Terms
13.1.Vista may amend the Terms by posting a new version on the Website. The Terms have a version and a revision date. Continued use of the Website after a new version takes effect means the User’s consent to the changes.
14. Governing Law and Dispute Resolution
14.1.These Terms are governed by the law of Ukraine, regardless of the User’s country of residence.
14.2.Disputes are resolved through negotiations and, failing agreement, in court at Vista’s location under the law of Ukraine. For consumer Users from other countries, this does not limit the rights granted by the mandatory provisions of their country of residence.
