2. Subject of the Offer
2.1.Vista provides the Client with services for placing (distributing) Releases on the Platforms through the Aggregator, as well as other services provided under the selected plan (promotion, profile setup, account verification, karaoke lyrics, etc.).
2.2.Rights to the Content belong to the Client. This Offer is not an agreement on the alienation of exclusive rights and does not grant Vista an exclusive licence. The Client grants Vista only a non-exclusive licence to the extent necessary to provide the services (Section 4).
2.3.Vista does not retain any share of the income from Releases; the fee for Vista’s services is only the cost of the Plan and Additional Services. Royalties for Releases are paid to the Client under Section 7.
3. Plans and Scope of Services
3.1.Services are provided on a subscription basis. The current list of plans, their contents and prices are posted on the Vista website and form part of the Offer.

3.2.Additional Services are purchased separately at website prices: karaoke lyrics, account verification (TikTok / YouTube), Release promotion (TikTok / Reels / Spotify) and other services Vista may introduce.
3.3."Unlimited releases" means no limit on the number of Releases within fair use (Section 9).
4. Rights to the Content
4.1.To provide the services, the Client grants Vista a non-exclusive (simple) licence to use the Content solely for placing and maintaining Releases on the Platforms through the Aggregator, worldwide.
4.2.The licence term equals the term of the paid Subscription. Upon expiry of the Subscription without renewal, the licence terminates and Releases are taken down from the Platforms under Section 6.
4.3.The licence is non-exclusive: the Client may simultaneously dispose of the Content by other means and through other parties. Vista acquires no rights to the Content beyond those in clause 4.1.
4.4.Income from the use of Releases belongs to the Client in full; Vista makes no deductions from the income (Section 7).
5. Client’s Warranties and Obligations
5.1.The Client warrants that they hold all rights to the Content — the track, phonogram, performance and voice in the recording — as well as the cover art and lyrics, and that their use does not infringe third-party rights.
5.2.When using a synthesised (AI) voice, the Client warrants that such voice lawfully belongs to them or was created with the consent of the voice’s rights holder.
5.3.The Client warrants that the Content does not violate the law, does not contain third-party works without permission, and was not uploaded on behalf of third parties without their consent.
5.4.The Client is solely responsible for the accuracy of the data and for the Content. If third parties bring claims, the Client resolves them independently and at their own expense and compensates Vista for any losses caused.
5.5.The Client confirms the warranties in this Section when uploading each Release in the Personal Account; such confirmation is made by their SES and recorded in the system.
5.6.When uploading a Release, the Client indicates how the track was created: fully AI, partially AI, or without AI; for partial AI use — exactly where (vocals, arrangement, lyrics, music). This information must be accurate, as the Platforms are required to label AI-generated music and Vista passes it on to the Aggregator and the Platforms. The Client warrants that the AI services used permit such use of the result and that the result does not infringe third-party rights.
6. Payment, Subscription and Takedown of Releases
6.1.The Vista manager tells the Client in Telegram how to pay for the Plan and Additional Services; payment is made in US dollars. Plan services are activated after the manager confirms payment.
6.2.The Subscription is valid for 12 months from the date of payment. There are no automatic charges: when the term ends, the Client renews the Subscription with a new payment. Vista reminds the Client of the end of the term 14 days and 3 days before it.
6.3.The Client may cancel renewal with the “Cancel renewal” button in the Personal Account or by message to the support manager; the Subscription remains valid until the end of the paid term.
6.4.If the paid term has expired and the Client has not renewed the Subscription, placement of Releases ceases and Releases are taken down from the Platforms.
6.5.Takedown of Releases causes their unavailability on the Platforms and breaks previously generated links. Assigned codes (ISRC / UPC) remain tied to the taken-down Releases, which may complicate re-distributing the same recording through another distributor. The Client is warned of these consequences and accepts them.
6.6.Vista may later introduce a separate paid option to keep Releases on the Platforms after the Subscription ends; the terms of such option are determined by Vista separately.
7. Payments to the Client
7.1.Royalties for the Client’s Releases are received by Vista from the Aggregator through which placement is carried out. Vista transfers the Royalties to the Client under this Section.
7.2.Payments are made quarterly based on a report generated by the Provider in the Personal Account as data arrives from the Aggregator and the Platforms. Transfer is made after the relevant funds have actually been received by the Provider, within a reasonable time.
7.3.The Client is paid 100% of the Royalties received by Vista from the Aggregator for their Releases, less the commissions of the Platforms, the Aggregator, banks and payment systems, as well as applicable taxes. Vista retains no share of the Royalties. The Client provides payout details in the Personal Account and is responsible for their accuracy; the Client pays taxes on their own income independently.
8. Personal Account and Rules of Use
8.1.Only projects to which the Client personally holds the rights may be placed in the Personal Account. Transferring access to the Personal Account to third parties and releasing third-party projects through the Client’s Personal Account are prohibited.
8.2.The Client undertakes to keep the authentication credentials confidential. All actions in the Personal Account performed using them are deemed performed by the Client until Vista is notified of a compromise of the credentials.
8.3.For each separate artist (project), Vista may require a separate contact (Telegram and/or email) for identification and communication purposes.
8.4.In the event of termination through the Client’s fault (breach of the rules of this Section), the Provider may take down the relevant Releases from the Platforms and restrict or close the Personal Account. The paid Subscription cost is non-refundable to the extent of the cost of services actually rendered and the expenses actually incurred by the Provider; their amount may be up to the full Subscription cost.
9. Scope and Procedure of Service Provision
9.1.Promotion, playlist pitching, profile setup and account verification services are provided as the performance of Vista’s actions and do not guarantee a specific result (playlist inclusion, passing verification, growth in streams), as the outcome depends on decisions of the Platforms and third parties.
9.2.Vista may reject a Release following moderation if it violates the Platforms’ rules, the law or this Offer.
9.3."Unlimited" releases and uploads are provided for fair use. Vista may restrict services where there are signs of abuse (bulk uploading of spam content, circumvention of limits, artificial inflation of metrics, etc.).
9.4.Timeframes for service provision and placement are determined by the rules of Vista, the Aggregator and the Platforms.
10. Liability, Termination, Dispute Resolution
10.1.The Parties bear liability under the law of Ukraine. Vista is not liable for the actions of the Platforms and the Aggregator, nor for interruptions in their operation.
10.2.Vista’s liability is limited to the cost of the Subscription paid by the Client for the current period, unless otherwise established by mandatory provisions of law.
10.3.The Client may withdraw from the services at any time. Since the services of placing and maintaining Releases are provided continuously throughout the Subscription term, upon the Client’s withdrawal only the fee attributable to services not actually rendered is refundable, less the expenses actually incurred by the Provider. The fee for services already rendered is non-refundable.
10.4.Vista may cease providing services upon the Client’s breach of the Offer, taking down Releases from the Platforms.
10.5.This Offer is governed by the law of Ukraine, regardless of the Client’s country of residence. Disputes are resolved through negotiations and, failing agreement, in court at the Provider’s location under the law of Ukraine. For consumer Clients from other countries, this does not limit the rights granted by the mandatory provisions of their country of residence.
11. Acceptance of the Offer and Amendment of Terms
11.1.Acceptance of the Offer is the payment of the selected plan and/or ticking the box of consent to the Offer in the Personal Account. Acceptance means the Client’s full and unconditional agreement to the terms of the Offer (Article 642 of the Civil Code of Ukraine, Article 11 of the Law of Ukraine "On Electronic Commerce"). From the moment of acceptance, the Offer is deemed a concluded agreement; separate signing is not required.
11.2.The text of the Offer is available to the Client for review before acceptance. The system records the fact of acceptance: the Client’s identifier, the date and time, the version of the Offer, and the fact of payment and/or ticking the box.
11.3.The Offer has a version and a revision date. Vista may amend the Offer by posting a new version on the website. The version in effect at the moment of acceptance of the relevant Subscription period applies to the Parties’ relations.
11.4.In all matters not regulated by the Offer, the Parties are governed by the law of Ukraine.
11.5.By accepting the Offer, the Client confirms that they are at least 18 years old and have full legal capacity. The Offer is not accepted from persons under 18, including through a legal representative.
12. Trial Single
12.1.A Client without a paid Plan may release one Trial Single (one track) free of charge and without a time limit — one Trial Single per Personal Account.
12.2.The sections on acceptance, the Client’s rights and warranties, the Personal Account and the general provisions apply to the Trial Single; the sections on payment, Subscription and payouts do not apply to it.
12.3.Vista does not guarantee income from the Trial Single or the terms of its payout.
12.4.Vista may keep the Trial Single on the Platforms or take it down; upon the Client’s request, the Trial Single is taken down.
13. Personal Data
13.1.Personal data is processed in accordance with the Privacy Policy posted on the Website.
13.2.To release a Release, data is transferred to the Aggregator and the Platforms, and for payment — to the Payment Provider, to the extent necessary to provide the services.
